The company secretary is responsible for maintaining the statutory registers of the company. Every single company keeps different statutory registers. These are, registers of members, registers of the directors, allotments, secretaries, the minutes of all the meetings the company holds.

Management of Records

Other than statutory registers, the law requires companies to keep other records. Even if the company is not required by law to manage certain records, it is always better to keep them and even if there is someone who does this, this responsibility always falls on the company secretary. Some examples of these records are tax records as well as records on insurance and pension.

The law requires every single company in a country to make filings with Companies House. It is a very big offense for a company to be found not to have done so. Filings are made annually as well as when certain events occur. It is the responsibility of a company secretary to make these filings.

Maintenance of the Registered Office

The law requires every company to have a registered office. This office is a real address that is in the country in which the company is. The company office however does not have to be the actual place that the company conducts business. This address however is where all of the company mail will be sent to. The company secretary is responsible for maintaining the registered office of the company.
